Build a fundraising-ready financial section for your board deck

Give directors and investors a reconciled view of performance, cash needs and the assumptions behind your Series A or B plan.

What matters here
  1. A fundraising deck should reconcile reported results, cash movements and the operating model.
  2. Show burn and runway month by month when costs or collections are expected to change.
  3. Define SaaS and gross margin metrics consistently before comparing actuals with the plan.

A board deck for a Series A or B raise has two jobs: show what the business has done and make the next financing plan credible. The financial section works when its schedules tie together, its assumptions are visible and its metrics mean the same thing from one month to the next. A polished chart cannot repair a mismatch between revenue, cash and the forecast.

Build the reporting pack from the schedules first, then turn the material findings into slides. That discipline helps finance managers standardize board financial reporting without requiring a large in-house finance team.

Start with a consistent reporting period

Choose a reporting cadence and keep the same cut-off across the income statement, balance sheet, cash flow and operating metrics. Label actuals, budget and forecast clearly. State whether figures are monthly or quarterly, and identify any material accounting or presentation changes that affect comparisons.

For each period, prepare a profit and loss schedule with actual results, plan, variance and a short explanation of the largest movements. Include revenue, cost of sales or service, gross profit, operating expenses and operating result. Show material expense categories rather than hiding them in a single overhead line. If a number is unusual, explain whether it is recurring, timing-related or one-off.

Make the schedules reconcile

Use the balance sheet and cash flow statement to explain what the profit and loss schedule cannot. The balance sheet should make working capital, debt and other material obligations visible. The cash flow schedule should bridge opening cash to closing cash, including operating movements, investing activity, financing and any foreign exchange effect that matters to the business.

Check that closing cash agrees to the balance sheet and that the cash movement is supported by the underlying records. Explain large changes in receivables, payables, deferred revenue or capital spending. For businesses operating across entities, show how the figures are brought together and flag material currency or intercompany effects. A useful background on entity-level reporting is how growing groups approach multi-entity accounting and consolidation.

Show burn and runway as a forecast, not a slogan

Include a monthly cash forecast that extends far enough to show the financing decision and the operating choices around it. Show opening cash, expected receipts, payroll and other major outflows, investment spend, financing assumptions and closing cash for each month. State the assumptions driving collections, hiring, pricing, renewals and planned spend.

Net burn can be useful as a summary, but define the period and calculation. A simple cash balance divided by recent net burn can mislead when hiring, collections or other costs are expected to change. In that case, show the month-by-month forecast and the point at which cash falls below the business's chosen minimum. Keep a downside case alongside the base case, using explicit changes to assumptions rather than an unexplained haircut. Do not count a prospective fundraise as cash available until it closes; show financing proceeds separately as a modeled assumption.

Choose metrics that explain the business

For a SaaS company, include the recurring-revenue measures management actually uses, such as monthly or annual recurring revenue, customer retention, expansion and contraction. Define each metric, state the period and explain how the calculation treats discounts, services, churn and foreign currency. Do not present bookings, billings, recognized revenue and cash collections as interchangeable. A short bridge between them helps a reader understand timing differences.

Show gross margin with a clear definition of the costs included. For a software business, that may require identifying hosting, support or implementation costs where they are material and consistently classified. If the margin is changing, bridge the movement by volume, pricing, mix or cost rather than presenting only a percentage. For other business models, use the operating measures that explain delivery economics instead of forcing SaaS labels onto the data.

Turn schedules into a board narrative

Keep detailed schedules available behind the summary slides. The deck itself should answer three questions: what changed, why it changed and what management will do next. Pair each material variance with an owner or decision where appropriate. Use the same figures and definitions in the board deck, fundraising model and diligence materials, and retain a clear source for each number.

Before sending the pack, run a tie-out: actuals to the ledger, cash flow to closing cash, operating metrics to their source calculations, and forecast totals to the stated assumptions. Ask someone who did not build the model to trace a few important figures. Errors found at this stage are cheaper to correct than during investor diligence.

CFO World is a CA-led outsourced finance function and virtual CFO practice offering accounting, compliance, reporting and CFO services. A business can structure work as a recurring retainer, a defined project or advisory engagement, or a hybrid. For a team without senior finance headcount, that can provide a way to assign ownership across the close, reporting and fundraising schedules. The scope should state what the finance team owns, what remains with management and how often the model and board reporting are reviewed.
